1. Acceptance of These Terms

These Terms and Conditions (“Terms”) govern access to and use of ezDealTrack, including ezDealTrack.com and related software, tools, features, and services (“ezDealTrack,” “the Service,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not create an account or use the Service.

2. Purpose of the Service

ezDealTrack is designed to help automotive sales professionals organize sold deals, delivery steps, paid units, monthly goals, notes, and related workflow items. It is not intended to replace a dealership’s CRM, DMS, accounting system, compliance system, legal records, or other official business records.

You are responsible for independently verifying that all dealership, employer, manufacturer, legal, registration, insurance, funding, delivery, and customer requirements have been properly completed.

3. Accounts and Credentials

You are responsible for maintaining the confidentiality of your account credentials and for activity performed through your account. You may not attempt to access another user’s account, interfere with the Service, circumvent security controls, or use the Service for unlawful or unauthorized purposes.

4. Passwords and Account Recovery

Password reset or account recovery functionality may not be available. You are responsible for remembering and securely storing your password. If your password is forgotten or lost, we may be unable to restore access to your account or its associated information.

We do not guarantee that an account can be recovered. ezDealTrack should not be used as the sole permanent storage location for important business information.

5. Information You Enter

You are responsible for all information you enter into the Service and represent that you have the legal and contractual right to use and store that information.

Do not enter highly sensitive or specially regulated information unless ezDealTrack expressly states in writing that the Service is designed to receive it. This includes, without limitation:

• Social Security numbers;
• full payment-card numbers or banking credentials;
• driver’s license images or authentication credentials;
• medical or health information;
• customer passwords, PINs, or one-time authentication codes; or
• other information that should not reasonably be stored in a basic dealership workflow tool.

You are responsible for following applicable laws, dealership policies, employer requirements, privacy obligations, and customer-data handling rules.

6. Employer and Dealership Authorization

If you use ezDealTrack in connection with employment or dealership activity, you represent that you are permitted to do so. ezDealTrack does not represent that its use has been approved by your dealership, employer, manufacturer, franchise, CRM provider, or other third party.

7. Data Accuracy and Workflow Responsibility

Information displayed by ezDealTrack is based primarily on information entered or updated by users. We do not guarantee that any status, checklist, note, deal record, paid-unit count, registration item, insurance item, delivery item, or other information is complete or accurate. You remain responsible for verifying official records and completing required processes.

8. Availability and Changes to the Service

The Service may occasionally be unavailable due to maintenance, software changes, hosting issues, outages, third-party failures, security events, or circumstances beyond our control. We do not guarantee uninterrupted, permanent, or error-free availability.

We may modify, suspend, restrict, replace, discontinue, or change any part of the Service at any time, subject to applicable law.

9. Free and Paid Access

Some or all ezDealTrack features may currently be offered without charge. Free access is not guaranteed indefinitely.

We may introduce subscriptions, paid plans, feature limits, usage limits, storage limits, or other fees in the future. Certain features, continued account access, or access to previously stored information may require an active paid subscription in the future where permitted by applicable law. Where legally required, appropriate notice will be provided before new charges or material access restrictions take effect.

Creating an account does not create a right to permanent free access.

10. Storage and Continued Access to Data

We do not guarantee indefinite storage, retention, or availability of any user information. Access may depend on account status, subscription status, continued operation of the Service, technical availability, compliance with these Terms, and applicable law.

Users should maintain appropriate official records and should not rely on ezDealTrack as the sole archive for information that is important for legal, tax, accounting, employment, dealership, compliance, customer, or business purposes.

11. Security

We may use reasonable administrative and technical measures intended to protect the Service. However, no internet-connected service, database, network, device, or storage system can be guaranteed to be completely secure. You acknowledge the inherent risks of using an online service and are responsible for protecting your devices, credentials, and account access.

12. Suspension and Termination

We may suspend, limit, or terminate accounts that violate these Terms, create legal or security risks, attempt to compromise the Service, engage in abusive activity, create excessive technical load, or interfere with other users. We may also discontinue accounts or services as part of product or business changes, subject to applicable law.

13. No Professional Advice

ezDealTrack does not provide legal, financial, accounting, tax, insurance, regulatory, employment, or compliance advice. The Service is an organizational tool only.

14. Third-Party Services

The Service may rely on third-party providers for hosting, databases, networking, analytics, communications, security, or other functionality. We are not responsible for third-party outages, changes, failures, or actions beyond our reasonable control.

15. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, reliability, compatibility, or non-infringement.

16. Limitation of Liability

To the maximum extent permitted by applicable law, ezDealTrack and its owners, operators, developers, affiliates, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including losses arising from lost sales, lost commissions, missed deliveries, inaccurate information, lost data, account-access problems, forgotten passwords, service interruptions, dealership disputes, customer disputes, or reliance on information stored in the Service.

Where liability cannot legally be excluded, liability will be limited to the maximum extent permitted by applicable law. Nothing in these Terms excludes liability that cannot legally be excluded or limited.

17. Changes to These Terms

We may update these Terms as the Service changes. Updated Terms may be posted on ezDealTrack.com with a revised “Last Updated” date. Continued use after updated Terms become effective constitutes acceptance where permitted by law.

18. Governing Law

These Terms will be governed by the laws applicable to the operator of ezDealTrack, without regard to conflict-of-law principles, except where applicable law requires otherwise.
